1. About XM Support LLC
XM Support LLC (“XM Support LLC,” “we,” “our,” or “us”) provides website design, website development, graphic design, e-commerce website design, and related digital services.
These Terms and Conditions govern access to our website at https://www.xmsupport.co and the purchase of our services.
By using our website or entering into a project agreement with XM Support LLC, you agree to the applicable terms. Project-specific proposals, invoices, and written agreements may supplement these terms. Where a project agreement expressly conflicts with these general terms, the project agreement will control for that project to the extent permitted by law.
2. Scope of Services
XM Support LLC provides digital services based on the requirements agreed upon with each client. Services may include:
Website design and development.
Website redesign and improvements.
Graphic design, logo design, and branding materials.
E-commerce website design and development.
Content integration and website configuration.
Website maintenance or other digital work, where expressly agreed.
The exact deliverables, project scope, estimated timeline, price, revisions, and other requirements will be described in the applicable proposal, invoice, or written project agreement.
Services not expressly included in the agreed scope may require a separate quotation and written approval.
3. Project Proposals and Acceptance
Before work begins, XM Support LLC may provide a proposal or project agreement describing the services, deliverables, fees, payment terms, and estimated timeline.
A project is considered accepted when the client confirms the order or proposal in writing, approves the applicable agreement, or otherwise accepts the project in a manner permitted by law.
Clients are responsible for reviewing the proposed scope and communicating any questions or requested changes before approving the project.
4. Pricing and Payments
XM Support LLC provides services through one-time project payments. These project payments are not recurring subscriptions unless a separate written agreement expressly provides otherwise.
The total project fee, payment schedule, applicable taxes, and any additional charges will be disclosed in the proposal, invoice, or written agreement before payment is required.
Depending on the project, payment may be required upfront, in agreed milestones, or upon completion. The applicable payment schedule will be communicated to the client before work begins.
Additional work outside the agreed scope will require agreement on the additional cost and timeline before that work is undertaken.
Clients must provide accurate payment information and be authorized to use the selected payment method. If a third party’s payment card is used, XM Support LLC may request verification that the cardholder has authorized the transaction.
XM Support LLC may decline or suspend a transaction where there is a reasonable concern about fraud, unauthorized payment, or legal or payment-provider requirements.
5. Project Timelines and Client Responsibilities
Project timelines are estimates unless a specific deadline is expressly agreed in writing.
Clients agree to provide the information, content, assets, access credentials, feedback, and approvals reasonably required to complete the project.
Delays caused by missing materials, late approvals, changes in requirements, or circumstances outside XM Support LLC’s reasonable control may affect delivery dates.
XM Support LLC will communicate material project delays and, where appropriate, discuss a revised timeline with the client.
6. Revisions and Changes to Scope
The number and type of revisions included in a project will be stated in the applicable proposal or agreement.
Requests outside the agreed scope, including substantial design changes after approval, new features, additional pages, or changes in project requirements, may involve additional fees and revised delivery dates.
XM Support LLC will communicate the proposed additional work, fees, and timeline for approval before proceeding with chargeable changes.
7. Cancellation and Refunds
Clients may request cancellation or a refund by contacting support@xmsupport.co.
Refund eligibility will be assessed under the XM Support LLC Refund and Cancellation Policy, the applicable project agreement, work completed, deliverables supplied, and applicable law.
Where a project is cancelled before substantive work begins, a full refund will generally be available, subject to any expressly agreed, legally permissible fees or costs actually incurred.
Where work has begun, an eligible refund may be calculated based on completed milestones, work performed, deliverables supplied, and permissible documented costs.
If XM Support LLC cannot deliver an agreed project or material milestone, the parties may discuss an appropriate resolution, including completion of the work, a revised delivery date, or a refund where appropriate.
Nothing in these terms excludes or restricts rights or remedies that cannot legally be excluded or restricted.
8. Client Materials and Intellectual Property
Clients retain ownership of materials they own and provide to XM Support LLC, including their logos, photographs, text, trademarks, and other content, subject to any applicable third-party rights.
Clients represent that they have the necessary rights and permissions to provide those materials and authorize their use for the project.
Upon full payment of all amounts due, ownership of specifically commissioned final deliverables will transfer to the client to the extent provided in the applicable project agreement and permitted by law.
Third-party software, themes, fonts, stock images, plugins, open-source components, and other licensed materials remain subject to their respective license terms and may not be transferable to the client.
Unless otherwise agreed in writing, XM Support LLC retains ownership of its pre-existing tools, reusable components, methods, templates, and general know-how. Where such materials are incorporated into a deliverable, XM Support LLC grants the client the rights reasonably necessary to use the completed deliverable for its intended purpose, subject to applicable third-party licenses.
Ownership of editable source files, development files, and other working materials will be governed by the project agreement.
9. Website Hosting and Third-Party Services
Hosting, domain registration, maintenance, premium plugins, third-party subscriptions, and other external services are included only when expressly stated in the project agreement or selected package.
Third-party platforms and providers operate under their own terms, policies, availability, and licensing conditions. XM Support LLC is not responsible for outages or changes caused by third parties beyond its reasonable control, but will address any responsibilities expressly accepted under the project agreement.
Where a client selects or supplies a third-party service, the client is responsible for complying with the applicable terms and maintaining any required account or license, unless otherwise agreed in writing.
10. Warranties and Project Performance
XM Support LLC will perform the agreed services with reasonable care and skill and in accordance with the applicable project agreement.
Unless expressly agreed in writing, XM Support LLC does not guarantee specific commercial outcomes, search-engine rankings, website traffic, sales, revenue, conversion rates, or business growth.
Websites and digital products may depend on third-party platforms, browsers, devices, integrations, and services. XM Support LLC will address agreed defects in its own deliverables in accordance with the project agreement and applicable law.
Nothing in these terms excludes any warranty or legal protection that cannot lawfully be excluded.
11. Acceptable Use
Clients must not use deliverables or our website for unlawful purposes or to infringe the intellectual-property, privacy, or other legal rights of third parties.
Clients must not knowingly provide unlawful, fraudulent, defamatory, or infringing materials for inclusion in a project.
XM Support LLC may refuse or suspend work involving a reasonable concern about unlawful activity or a material violation of these terms, subject to the applicable agreement and law.
12. Confidentiality and Personal Information
Each party should take reasonable steps to protect confidential information received from the other party in connection with a project.
XM Support LLC’s collection and use of personal information are described in its Privacy Policy, available at https://www.xmsupport.co/privacy-policy/.
Clients should not provide sensitive information or account credentials unless necessary for the agreed service and through an appropriate method.
13. Limitation of Liability
To the extent permitted by applicable law, neither party will be liable to the other for indirect or consequential losses that were not reasonably foreseeable, except where such liability cannot lawfully be excluded.
To the extent permitted by applicable law, XM Support LLC’s aggregate liability arising from a particular project will not exceed the total fees paid or payable to XM Support LLC for that project during the twelve months preceding the event giving rise to the claim.
The limitations in this section do not apply to liability that cannot lawfully be limited or excluded, including any applicable liability for fraud or willful misconduct.
Nothing in this section removes rights or remedies available to clients under applicable law.
14. Suspension and Termination
Either party may seek to terminate a project in accordance with the applicable project agreement and law.
XM Support LLC may suspend work where reasonably necessary because of non-payment, missing essential client information, suspected unauthorized transactions, unlawful activity, or a material breach of the agreement.
Upon termination, the parties will address outstanding payments, completed work, delivery of paid-for materials, and any eligible refund in accordance with the project agreement, the Refund and Cancellation Policy, and applicable law.
15. Changes to These Terms
XM Support LLC may update these website Terms and Conditions from time to time. Revised terms will be published on this page with an updated date.
Changes to website terms will not automatically alter an existing project agreement where doing so would conflict with the agreed terms or applicable law.
16. Governing Law and Disputes
Any governing-law provision and dispute-resolution procedure applicable to a project will be stated in the applicable project agreement, subject to mandatory legal requirements.
The parties are encouraged to communicate in good faith to resolve disputes. Nothing in these terms prevents either party from exercising rights available under applicable law.
